These Terms of Business (the «Terms») govern the sale of goods by eKits.UK (a trading name of Zagran Ltd) to you, the «Trade Customer». eKits.UK operates as a boutique wholesale platform designed specifically for retailers to purchase products in smaller quantities than our primary distribution platform, Zagran Distro. By placing an order, you confirm that you are acting in the course of your trade or business and that these Terms constitute a binding commercial contract.
You may not use the Services if you do not accept these Terms. Your continued use of the Services shall constitute your automatic acceptance of the Terms from that point onwards.
The Trade Customer warrants that they are a bona fide business entity or sole trader currently engaged in, or in the process of establishing, the legal retail or distribution of vaping products. The Trade Customer confirms that they possess all necessary legal authority to purchase and resell these products within the United Kingdom. We do not ship to addresses outside of the United Kingdom, and the Trade Customer warrants that the delivery address provided is within the UK.
We operate a mandatory verification process to confirm the legitimacy of the business and the age of the purchaser. The Trade Customer consents to such verification as a condition of supply. We reserve the right to decline any order at our sole discretion if we are unable to verify the business legitimacy of the Trade Customer or if we suspect the products are not intended for legal retail purposes.
In the event of cancellation due to a failed verification check, we are not liable for any inconvenience caused, and the contract of sale will be considered void ab initio (void from the outset).
These Terms are for Business-to-Business (B2B) supply. Protections afforded to «consumers» under the Consumer Rights Act 2015 and the Consumer Contracts Regulations 2013 – including the 14-day «cooling-off» period – do not apply to this contract.
All orders are final. Requests to cancel or return goods due to a change of mind, overstocking, or incorrect selection by the Trade Customer will not be accepted. Returns and cancellations are governed exclusively by our B2B Returns & Cancellation Policy, and refunds are governed by our B2B Refunds Policy.
All prices are in British Pounds Sterling (£). Full payment must be received before dispatch. Title to the goods (ownership) transfers to the Trade Customer only upon full payment. The risk of loss or damage passes to the Trade Customer upon delivery.
Nothing in these Terms of Business shall limit or exclude our liability for death or personal injury caused by our negligence, or for fraud or fraudulent misrepresentation, or any other matter for which it would be unlawful to exclude or limit liability.
Subject to the above, our total liability to the Trade Customer in respect of all losses arising under or in connection with the purchase of goods shall not exceed the price paid for the specific goods giving rise to the claim.
We shall not be liable for any loss of profit, loss of business, or any indirect or consequential losses that arise out of or in connection with these Terms.
This contract is governed by the laws of England and Wales. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
These terms have been formally adopted by Zagran Ltd for the purposes of its business operations conducted under the trading names eKits.UK and The.Vapour.House
